Version dated 09.10.2026

This is an English translation of the Russian-language Public Offer, provided for convenience only. In the event of any discrepancy, the Russian text shall prevail (clause 11.3).

1. General Provisions

1.1. This public offer (the “Offer”) is an official proposal by Ekaterina Mikhailovna Bagdasarova, Taxpayer Identification Number (INN) 301807181891, who applies the special tax regime “Professional Income Tax” (the “Provider”), to enter into a services agreement (the “Agreement”) on the terms set out below with any natural person having full legal capacity (the “Customer”), in accordance with Article 437(2) of the Civil Code of the Russian Federation.

1.2. The Agreement shall be deemed concluded upon acceptance of the Offer. Acceptance means payment by the Customer for a Package or a Class on the Provider’s website https://yogawithkatrin.online (the “Website”). By paying for the services, the Customer confirms that they have read the Offer, the Privacy Policy and the booking rules published on the Website and accepts them in full and without reservation.

1.3. Definitions:

  • Class means a group or private yoga class of the duration stated in the schedule on the Website, conducted by the Provider in real time via a video-conferencing service (online).

  • Package means the Customer’s right to attend a certain number of Classes within the Package validity period. The contents, number of Classes, validity period and price of Packages are stated on the Website.

  • Booking means the reservation of a place in a specific Class through the Website.

  • Personal Account means the section of the Website available to the Customer after signing in with their email address.

2. Subject Matter of the Agreement

2.1. The Provider undertakes to conduct Classes in accordance with the Package paid for by the Customer and the Customer’s Bookings, and the Customer undertakes to pay for the services and to comply with the terms of the Agreement.

2.2. The schedule, the format of Classes (group or private), and the prices and terms of Packages are published on the Website, including on the “Services and prices” page (https://yogawithkatrin.online/en/prices), and form part of the Agreement.

2.3. The Provider conducts Classes personally. For the technical provision of the services, the Provider may use third-party services (video-conferencing, payment and mailing services) and shall not be liable for their operation beyond the limits established by law.

2.4. The services are of a wellness nature and are not medical services.

3. Price and Payment Procedure

3.1. The prices of Packages and Classes are stated on the Website. The price in effect at the time of payment applies. Discounts and special offers apply on the terms stated on the Website and may not be combined unless the Website states otherwise.

3.2. Payment is made in advance in the amount of 100% of the Package price by the methods stated on the Website, including by bank card through a payment service. When paying by bank card, settlement is made in Russian rubles; if the Customer’s card is issued in another currency, the conversion is performed by the issuing bank at its own rates.

3.3. The Customer’s payment obligation is deemed fulfilled when the funds are received by the Provider (upon confirmation of payment by the payment service).

3.4. The Provider is a payer of the Professional Income Tax. A receipt is generated in the “Moi Nalog” (“My Tax”) application and sent to the Customer at the email address provided at the time of payment.

4. Package

4.1. A Package is activated after payment. Its validity period runs from the activation date and is shown on the Website and in the Personal Account.

4.2. A Package is personal and may not be transferred to third parties. One place in a Class corresponds to one Customer.

4.3. The Customer books Classes independently within the Package validity period. Upon expiry of the validity period, the right to attend unused Classes terminates and the validity period is not extended, unless otherwise agreed by the Provider.

4.4. The Customer acknowledges that the number of places in group Classes is limited and that the Provider does not guarantee the availability of places in any specific Class.

5. Booking, Cancellation and Rescheduling of Classes

5.1. Classes are booked through the Website; a Booking is confirmed in the Personal Account and/or by email.

5.2. The Customer may cancel a Booking via the Personal Account no later than 24 (twenty-four) hours before the start of the Class, unless a different period is stated on the Website for the Package. In this case, the Class is returned to the Package.

5.3. If a Booking is cancelled after the deadline specified in clause 5.2, or if the Customer fails to attend a Class without cancelling the Booking, the place is deemed to have been reserved for the Customer, the Class is deemed conducted and the service is deemed rendered; the Class is deducted from the Package.

5.4. Late arrival by the Customer does not extend the Class. A Class that the Customer joined late, or was unable to join for reasons on the Customer’s side (no or poor internet connection, device malfunction, or other circumstances within the Customer’s control), is deemed conducted.

5.5. The Provider may change the time of a Class or cancel it by notifying the Customer via the Personal Account and/or by email no later than 2 (two) hours before its start, or at any time in circumstances beyond the Provider’s control (illness, a technical failure on the side of the Provider or of the video-conferencing service). A Class cancelled by the Provider is returned to the Customer’s Package, or the Customer is offered another time.

5.6. If a Class is interrupted for a technical reason on the Provider’s side and cannot be continued, the Class is returned to the Package.

6. Withdrawal from the Agreement and Refunds

6.1. The Customer may withdraw from the Agreement at any time by sending a request to the Provider’s email address specified in the “Details and contacts” section, from the email address used at the time of payment.

6.2. Upon withdrawal from the Agreement, the Customer is refunded the amount paid for the Package, less the cost of Classes conducted or deemed conducted in accordance with clauses 5.3–5.4, calculated pro rata to the Package price.

6.3. Upon withdrawal, Packages purchased under a promotion or at a discount are recalculated on the basis of the price actually paid by the Customer.

6.4. Refunds are made within 10 (ten) days of receipt of the request, by the same method that was used for payment. For bank card payments, the time it takes for the funds to be credited to the card depends on the Customer’s bank.

6.5. Classes left unused upon expiry of the Package validity period are non-refundable, except where the Classes were not conducted through the Provider’s fault.

6.6. If a service is rendered improperly or is not rendered through the Provider’s fault, the Customer may demand a refund of the cost of the relevant Class or that the Class be conducted at another time.

7. Health and Safety

7.1. The Customer confirms that they have no medical contraindications to practising yoga and, in the case of a chronic illness, injury, pregnancy or any other special health condition, that they have consulted a doctor before starting Classes and have informed the Provider of their condition.

7.2. The Customer performs the exercises within their physical abilities, follows the Provider’s instructions and is responsible for ensuring a safe space for the Class (sufficient free space, a stable surface, no obstacles).

7.3. The Provider shall not be liable for harm to the Customer’s health resulting from the Customer’s concealment of information about their health, failure to follow the Provider’s instructions or breach of clause 7.2.

8. Rights and Obligations of the Parties

8.1. The Provider undertakes to:

  • conduct Classes in accordance with the schedule and the Customer’s Bookings;

8.2. The Provider may:

  • refuse the Customer participation in a Class or disconnect the Customer from a Class in the event of a breach of clause 8.4, in which case the Class is deemed conducted;

8.3. The Customer undertakes to:

  • provide accurate information and a valid email address;

  • comply with the booking and cancellation rules set out in Section 5;

  • independently ensure that they have the device and internet connection required to participate in Classes.

8.4. The Customer shall not:

  • share the link for joining a Class or access to the Personal Account with third parties;

  • record, broadcast, distribute or otherwise use video or audio recordings of Classes or the Provider’s materials, except for personal non-commercial use;

  • disrupt group Classes or behave inappropriately towards the Provider or other participants.

9. Liability of the Parties

9.1. The Parties shall be liable for non-performance or improper performance of their obligations under the Agreement in accordance with the laws of the Russian Federation.

9.2. The Provider shall not be liable for the Customer’s inability to participate in a Class for reasons within the Customer’s control, or for failures of communication networks, video-conferencing services or payment services that occur through no fault of the Provider.

9.3. The Provider’s liability under the Agreement is limited to the cost of the Classes not rendered, except where the law expressly provides otherwise.

9.4. The Parties are released from liability for non-performance of their obligations caused by force majeure (natural disasters, epidemics, acts of public authorities, large-scale failures of communication networks, etc.). The Party affected by such circumstances shall notify the other Party within a reasonable time. If such circumstances continue for more than 30 (thirty) days, either Party may withdraw from the Agreement, with settlement in accordance with clause 6.2.

10. Amendment of the Offer and Term of the Agreement

10.1. The Provider may unilaterally amend the Offer by publishing a new version on the Website. The new version applies to Packages paid for after its publication; Packages paid for earlier remain subject to the version in effect at the time of payment.

11. Dispute Resolution

11.1. Claims shall be sent to the Provider by email to the address specified in the “Details and contacts” section. The Provider shall consider a claim and respond to it within 10 (ten) days of its receipt.

11.2. Disputes not settled through the claim procedure shall be resolved in court in accordance with the laws of the Russian Federation.

11.3. The Agreement is governed by the laws of the Russian Federation. The Offer is drawn up in Russian. Any translation into other languages published on the Website is provided for convenience only; in the event of any discrepancy, the Russian text shall prevail.
